The Safaricom PLC Domestic Medium Term Note Programme is a KES 40 billion debt issuance initiative by Safaricom PLC. The Programme is designed to diversify the company’s funding sources, enhance financial flexibility, and support long-term investments as Safaricom advances its ambition to become Africa’s purpose-led technology company by 2030.Under this Programme, Safaricom may issue a range of notes, including green notes, social notes, and sustainability notes.

Online Application Process

To accept the offer on this application portal:

1. Read the terms and conditions of the Offer

2. Ensure you have a Valid CDSC Account if not consult your broker/agent to open

3.Once you have the CDSC, click on Apply for Notes.If you had made an application before you can enter the details requested to add another application or click New Application for a fresh application.

4. Once you have duly completed and submitted the Application Form, you will be required to make payment and uploaded proof of payment documents (EFT or Bank Transfers).This will be verified by the Data Processing Agent. Please look out for updates on the status of your application, which will be sent to your registered email address or through text message to the mobile number you indicated in the electronic application.

Completing a Physical Form

You can also submit a physical Form by following the steps below;

2. Complete the Form following the instructions therein and submit the completed Application Form together with the required supporting documents to any of the Placing Agents.

This structure provides a cost-effective and flexible framework to issue fixed-income securities over time, aligning capital needs with strategic projects while offering investors an opportunity to participate in Safaricom’s growth strategy.

The Programme allows Safaricom to raise debt from the public as needed and so the first issuance will be KES 15 billion with a green shoe option to accept an additional KES 5 billion, in the event of any oversubscription.

Notes are a type of debt security issued by a company to raise funds from the public. They operate much like a loan, where the company borrows money from multiple investors and undertakes to repay the principal together with interest over a specified period.. Similar to government bonds, which are issued by the Government of Kenya, notes represent borrowing—but in this case, it is Safaricom borrowing from the market instead of the government. 

For this first issuance of Green Notes under the MTN Programme, investors will not receive physical certificates to represent the notes they have subscribed for. The notes will be issued in electronic form only, and evidence of title will be maintained through book-entry records in the subscriber’s CDSC account. Accordingly, ownership and transfers will be reflected and evidenced solely by the electronic entries made in the Central Depository and Settlement Corporation system.

A Green Note is another name for a green bond that is issued by a company where the proceeds are invested in projects that support the environment i.e., energy efficiency, sustainable buildings etc. A Green Note issuance is part of Safaricom’s Sustainability Strategy.

Yes, it is. Subject to any changes in law, interest income accruing on the Green Note will be tax exempt just like an Infrastructure Bond issued by the Government of Kenya. Investors are encouraged to consult their tax advisors in case of any further queries.

The Notes will be listed on the NSE so you can instruct your stockbroker or investment bank to sell it. However, there is no guarantee that there will always be a buyer available as Notes are less liquid than shares. Please contact your stock broker or investment bank for more information.
